This is the fourth and last webinar dedicated to Royalty Clauses. It will focus on «License agreement: Audit clause and audit pratices »
We are continuing our webinars on the intricacies of « royalty clauses » based on the testimony of two firms specialized in auditing license agreements. They will share with us their experience from office and field audits, such as how they conduct the audits, the benefits and issues of audits, the main reasons for under reporting of royalties, some examples of audit findings (audit recovery), and advice for the drafting of audit clauses. The audit firms are Global Licensing Audit Services , a US firm represented by its founder and president, Venkat Ramani and Vikram Ramani, the CEO of the company; and Insight Licensing Services, a French/UK firm represented by its co-founder and partner, Clement Franceschini.
R. Venkat Ramani, CEO and founder of GLAS, is a Chartered Accountant, a Computer Audit Specialist and a SAP certified consultant. Venkat is unique with a strong audit background and extensive international experience. He graduated with a degree in Mathematics, Physics and Statistics from University of Madras, India (1969) and then attained a professional qualification as a Chartered Accountant (1973). Venkat started his career in Bombay with A. F. Ferguson & Co. (AFF&Co.), the largest Accounting firm of Chartered Accountants in India and representative firm for KPMG during that time. He gained audit experience with managing audits of very large large public and private group of companies spanning several industries. He rose quickly to becoming a Principal and managed prestigious clients for AFF&Co. He joined KPMG and worked in Zambia and USA on a variety of international assignments, he advanced to Partner. Venkat was engaged by GE to conduct license audits in 1998 and was engaged by Thomson (now Technicolor). He founded GLAS in 2000 and accomplished audits in 22 countries. He has traveled to more than 60 countries in five continents.
V. Vikram Venkataramani, President of GLAS, is a Certified Public Accountant with experience providing assurance services to a variety of large and small companies, both privately held and publicly traded, including seven years with KPMG, where he advanced to Audit Senior Manager. Vikram specializes in computer-based quality audits and has a great deal of experience with Sarbanes-Oxley Section 404 engagements and providing guidance to clients with respect to the planning, assessing and documenting of internal controls related to financial reporting. Prior to joining KPMG, he had extensive project management experience with a large retail company and was instrumental in implementing an enterprise-wide corporate performance measurement solution. Vikram is a graduate of Cornell University with a B.S. in Operations Research and Industrial Engineering.
Clement Franceschini is Insight Licensing partner covering European and Middle-East clients. He holds degrees in commerce, law and economics. Clement speaks English, French and Spanish and he has worked several years with Deloitte & Touche before joining the Walt Disney Company’s Consumer Products Licensing Compliance Division for Europe, Middle East and Africa. He has over 10 years of commercial and financial experience in royalty and compliance audits and he founded Insight Licensing 6 years ago where he established long term relationships with major clients such as Nike, Lamborghini and Turner Broadcasting to name a few.
