LES USA-Canada "Civil Law IP Contracts Incorporating Common Law Standard Clauses: Beware of You"

Hosted by the Intellectual Property Institute of Canada in partnership with the LES USA-Canada Montreal Chapter.

Practitioners based in Quebec and elsewhere in Canada regularly incorporate into IP contracts that they draft, such as confidentiality agreements, service contracts, licenses, IP transfer contracts, co-development agreements, etc., standard clauses borrowed from the common law. This practice raises many questions, including:

  • Are these clauses valid?
  • How are they interpreted in civil law and what are their effect?
  • Are there better standard clauses derived from civil law?
  • What are the best practices?
